Introduction

This website Swapple.in & Tool, including any subdomains thereof, and any other websites through which its services are made available, our mobile, tablet and other smart device applications, and application program interfaces etc, , (hereinafter collectively referred to as "LeadSwapAI") is owned, hosted and operated by SWAPPLE SOLUTIONS PRIVATE LIMITED, a company incorporated in India under the Companies Act, 2013 and having its registered office at Maharashtra, India, 442001. These terms and conditions, privacy policy and community guidelines regulating use of these Services constitute a legally binding agreement between LeadSwapAI and the User (the “Agreement”).

Swapple.in/LeadSwapAI and/or any other website(s) linked to this website is an online information and communications service provided to you, subject to your compliance with the terms and conditions set forth below.

SWAPPLE SOLUTIONS PRIVATE LIMITED may amend/modify these terms and conditions at any time, and such modifications shall be effective immediately upon posting of the modified terms and conditions on Swapple.in. You may review the modified terms and conditions periodically to be aware of such modifications and your continued access or use of swapple.in/LeadSwapAI, shall be deemed conclusive proof of your acceptance of these terms and conditions, as amended/modified from time to time. SWAPPLE SOLUTIONS PRIVATE LIMITED may also suspend the operation of swapple.in/LeadSwapAI for support or technical upgradation, maintenance work, in order to update the content or for any other reason.

If you utilize swapple.in/LeadSwapAI in a manner inconsistent with these terms and conditions, SSPL may terminate your access, block your future access and/or seek such additional relief as the circumstances of your misuse may be deemed to be fit and proper.

Definitions

For the purposes of this Agreement, the term Subscriber or User refers to any individual, business, or legal entity that has subscribed to the services of LeadSwap AI, either through a paid plan or any trial access, and who is granted login credentials in the form of a username and password. These credentials may be created by the user or assigned by SWAPPLE SOLUTIONS PRIVATE LIMITED Only authorized users have the right to access the services offered, and such access must comply with all applicable terms and usage policies.

The term Visitor or Browsing User includes any person who accesses public or informational portions of the LeadSwap platform—such as the homepage, pricing pages, or help articles—without creating an account or subscribing to a service. The term Advertiser or Client Partner applies to any user who provides campaign briefs, targeting requirements, or business information for the purpose of receiving customized lead generation services or related offerings.

An Unauthorized User is any individual or party who accesses LeadSwap AI without formal agreement, subscription, or permission. Unauthorized users are still bound by these Terms & Conditions, particularly regarding intellectual property, platform integrity, and data restrictions. The terms User and Customer may be used interchangeably in this Agreement to include Subscribers, Visitors, or Advertisers who access any portion of the LeadSwap platform or services.

The term Service or Services encompasses all tools, technologies, features, and deliverables offered under LeadSwap AI, including AI-powered lead discovery, data extraction from public sources, real-time filtering, verification, and access to downloadable or viewable lead records. These services may also include prompt-based search functionality, campaign support, and CRM-ready lead formatting. LeadSwap does not act as an agent, intermediary, or guarantor in any transaction initiated through its services. The platform is solely a medium for accessing verified business data collected through publicly available sources using proprietary AI technology.

Client Input & Content Usage Policy (LeadSwap AI)

Users agree not to submit any targeting inputs, business filters, sample outreach messages, media files, or any other information to LeadSwap AI unless they have all necessary rights and permissions to do so. This includes, but is not limited to, data or materials related to potential clients, industries, or marketing campaigns, as well as third-party media such as images, voice recordings, or videos. By submitting such data, the User confirms that the information is accurate, lawful, and does not violate the rights of any third party including privacy, copyright, or consent laws.

SWAPPLE SOLUTIONS PRIVATE LIMITED (the operator of LeadSwap AI) does not claim ownership of any submitted data or content, and shall not be responsible for independently verifying its authenticity or legality. Users are solely responsible for the accuracy of the content and information they provide, including any media used for promotional or campaign purposes. Any media submitted, such as voice samples for lead outreach or promotional videos, will be treated as royalty-free, sublicensable, and irrevocably licensed to Swapple Solutions Pvt. Ltd. for use in improving and delivering LeadSwap-related services.

LeadSwap may use anonymized versions of user-submitted campaign data or outcomes for promotional, marketing, or case study purposes without requiring separate compensation, unless otherwise agreed in writing.

Users shall not submit lead requirements or targeting information that promotes false claims, unauthorized reselling, or violates applicable laws including but not limited to data protection, spam regulations, and digital advertising standards. If any content submitted is found to be misleading or fraudulent, Swapple reserves the right to suspend or terminate the user's access without prior notice and may take appropriate legal action where necessary.

SSPL also reserves the right to reject or remove any campaign briefs, lead requests, or uploaded content at its sole discretion if such content is deemed harmful, unverifiable, or in violation of this agreement.

The company does not guarantee lead conversion, response, or profitability as outcomes depend on multiple external factors including the user’s business process, messaging strategy, and market conditions. The 'verified' status of a lead indicates a confirmation of contact existence (e.g., phone or email validity) but not a confirmation of their intent, qualification, or business relationship. Users are responsible for validating any leads delivered before engaging in contractual or financial dealings.

Content Moderation & Platform Use

Swapple Solutions Pvt. Ltd. employs both proprietary and third-party AI technologies to monitor, detect, and manage potentially harmful or inappropriate content shared by users on the LeadSwap AI platform. These tools are designed to help ensure that all user-submitted inputs, campaign instructions, lead filters, messages, or uploaded materials comply with our platform’s terms, ethical standards, and applicable laws.

Moderation may be conducted through automated systems and/or reviewed by human moderators, depending on the complexity and sensitivity of the content. Based on these evaluations, content may be accepted, flagged, rejected, or escalated for further human review. Our moderation processes may rely on third-party service providers to enhance detection capabilities and ensure ongoing platform safety.

This multi-layered system is part of our continuous effort to uphold a respectful, legal, and efficient environment for all users. Users retain the right to raise concerns, file grievances, or appeal moderation decisions. Any such feedback will be reviewed according to our internal compliance procedures and timelines.

While we take reasonable efforts to maintain fairness and accuracy, no moderation system is flawless. All moderation systems are provided “as is” and are continuously refined in collaboration with external vendors and technology partners to improve performance and platform security.

Payments & Liability

All payments for services provided by Swapple Solutions Pvt. Ltd. through the LeadSwap AI platform shall be made on a 100% advance basis. Once a service is subscribed to, the payment is deemed non-refundable. Any exceptions or refunds will be considered only at the sole discretion of Swapple Solutions, and any approved amount may be processed within a reasonable timeline. Users acknowledge that Swapple Solutions shall not be responsible for the timeliness or accuracy of refunds reaching the user's account, especially in cases where payment gateways or banking networks are involved.

Swapple Solutions reserves the right to adjust, offset, or reconcile any user payments against other dues, liabilities, or agreements the user may hold with Swapple Solutions, if applicable. While we strive for uninterrupted service, no guarantees are made regarding server uptime, access to AI tools, or lead delivery continuity, especially when affected by technical issues or third-party dependencies. In such cases, our liability is strictly limited to the value of the affected service(s) as originally billed.

Swapple Solutions does not assume any liability for free trials, demo services, or promotional credits offered to users. We reserve the right to modify, amend, or discontinue any terms, disclaimers, or service agreements at our discretion and without prior notice. Continued usage of the LeadSwap AI platform following such changes implies user acceptance of the revised terms.

To ensure safe transactions, Swapple Solutions uses industry-standard secure payment gateways for processing all online payments. We do not store or retain credit/debit card details on our servers. Once a transaction is complete, payment credentials are neither visible to, nor retrievable by, Swapple Solutions or its employees. This is to safeguard user privacy and financial security.

Swapple Solutions shall not be held liable for any loss, damages, or disputes arising out of the disclosure (accidental or otherwise) of user account information, payment verification details, or transaction-related errors, whether or not such disclosures occurred as part of a legal process or due to third-party service issues.

Refunds in Failed Transactions

While Swapple Solutions Pvt. Ltd. operates with a dedicated payment reconciliation process, we do not guarantee the accuracy or speed of refund settlements to the user’s bank account or card. This limitation arises due to the involvement of multiple third-party entities—payment gateways, issuing banks, acquiring banks, and network providers—along with variables like internet availability and bank working hours or holidays.

In the event of a failed or duplicate transaction, Swapple Solutions will make reasonable efforts to verify and, where applicable, initiate a refund within 7–10 working days of confirmation. However, no liability is accepted for delays outside our control.

Refunds will not be issued for dissatisfaction with service outcomes, provided the minimum committed deliverables (e.g., number of leads) were met. Refunds in case of content concerns or incorrect targeting caused by inaccurate client input will be at the sole discretion of Swapple Solutions.

In cases where a user engages with LeadSwap AI in violation of these Terms & Conditions—such as misuse of lead data, abuse of the system, or breach of contract—Swapple Solutions reserves the right to terminate access, block future usage, and/or pursue appropriate remedies as deemed necessary under the circumstances.

Use of Information

The User agrees that all information, data, contact details, lead records, campaign results, and any material obtained from or through the LeadSwap AI service (“Content”) shall be treated as proprietary to Swapple Solutions Pvt. Ltd.. All such Content is licensed to the User for limited personal or business use under the terms of their subscription plan, and shall not be shared, redistributed, sold, or repurposed for any commercial use outside of the User’s own organization.

The User understands and accepts that LeadSwap AI provides data sourced from publicly available information and does not guarantee the accuracy, intent, or responsiveness of any lead. Use of the Content is entirely at the User’s discretion and risk, and it is the User’s responsibility to independently verify the quality, legality, and relevance of the data before acting upon it.

Users may access Content solely for business development, sales outreach, or prospect research for their own internal use. The User agrees not to republish, resell, publicly display, or reproduce any part of the Content or platform output for use in other databases, directories, listing services, or lead platforms. Creation of derivative works, automated scraping, or reverse-engineering of platform data is strictly prohibited.

Any misuse of the Content, including abusive scraping (manual or automated), re-hosting of lead data, or unauthorized sharing outside the purchasing entity, shall result in immediate suspension or termination of service without notice, and may invite legal recourse.

Intellectual Property Rights

All logos, brand names, product designs, service marks, and trademarks (“Marks”) displayed on or associated with LeadSwap AI are the sole property of Swapple Solutions Pvt. Ltd. or are used under valid license from third parties. All intellectual property rights, whether registered or unregistered, statutory or common law, fully vest with Swapple Solutions or its licensors. Access to the LeadSwap platform does not grant any user the right or license to use these Marks in any form. Any unauthorized usage, reproduction, imitation, or modification of these Marks will be treated as a violation of applicable intellectual property laws and may result in legal action.

Swapple Solutions Pvt. Ltd. respects the intellectual property rights of users and third parties and is committed to complying with all relevant laws under the Indian legal framework. If a User is found to be using the LeadSwap platform in a manner that infringes upon the intellectual property rights of others—such as unauthorized use of branding, content, data models, or proprietary code—Swapple reserves the right to terminate that User’s access without prior notice.

By using LeadSwap AI, Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the platform’s services solely for their internal business operations. This license is conditional upon strict adherence to the platform’s Terms & Conditions and does not extend to any resale, redistribution, reverse engineering, or replication of the platform, its content, or its underlying technology.

Restrictions and Prohibited Use

Users of LeadSwap AI are required to use the platform strictly for its intended business and professional purposes. Any misuse of the platform, its services, or data will be considered a breach of these Terms and may result in immediate suspension, termination of services, and potential legal action.

Users must not exploit the platform in any manner that harms, impairs, or interferes with the operations of Swapple Solutions Pvt. Ltd., including any activity that violates applicable laws or data regulations. It is strictly prohibited to copy, extract, download, modify, share, resell, or repurpose any data, content, algorithms, interfaces, user records, or technology from the LeadSwap AI platform. Users are not allowed to use any form of automation, including bots, scripts, crawlers, or browser plugins, to mine data or abuse search functionality without written consent.

Any attempt to gain unauthorized access to parts of the platform—such as backend infrastructure, third-party integrations, server databases, or admin panels—is strictly forbidden. Reverse engineering, decompiling, or replicating the platform’s user interface or architecture is also a violation. Users may not embed, frame, simulate, or mask the platform in external websites, applications, or tools. Sharing login credentials or redistributing access to unauthorized persons is considered a breach.

Users must not impersonate individuals or organizations, make false claims about affiliation with Swapple Solutions, or use the platform to distribute spam, malicious content, or misinformation. The platform must not be used to upload or circulate harmful, obscene, defamatory, or illegal content, including content that promotes violence, hate speech, or threatens national security or public order. Users are strictly prohibited from using LeadSwap AI to harass, stalk, or harm other users, individuals, or entities.

Additionally, users must not modify, disable, or bypass any security, verification, or rate-limiting mechanisms in place on the platform. Any attempts to overload the system, exploit vulnerabilities, or carry out denial-of-service actions will be treated as serious violations and may result in criminal liability.

Swapple Solutions Pvt. Ltd. reserves the right to take immediate action—including account termination, access restriction, or legal proceedings—against any user who violates these terms or attempts to manipulate the platform in a way that is harmful to its integrity, security, or lawful operation.

LeadSwap AI may contain links, references, or integrations that direct users to third-party websites, tools, or resources for additional functionality, information, or convenience. These external websites are not owned, controlled, or endorsed by Swapple Solutions Pvt. Ltd., and we make no representations or warranties of any kind regarding the content, services, accuracy, reliability, or safety of any third-party platform that may be accessed through our website or application.

Users acknowledge and agree that Swapple Solutions shall not be held responsible or liable, directly or indirectly, for any loss, damage, or inconvenience caused or alleged to be caused by the use of or reliance upon any content, goods, or services available on or through such third-party sites. Users are encouraged to review the terms and privacy policies of any third-party site they visit.

Disclaimer and Warranties

LeadSwap AI, operated by Swapple Solutions Pvt. Ltd., functions as a digital intermediary under the guidelines of the Information Technology Act, 2000. All services, content, and features provided through LeadSwap AI are offered strictly on an “as-is” and “as available” basis, without any warranties or guarantees—express or implied—regarding their accuracy, performance, reliability, or outcomes. Swapple Solutions and any associated third-party service providers make no representations regarding merchantability, fitness for a particular purpose, data accuracy, lead conversion, or uninterrupted service access.

Swapple Solutions does not endorse or take responsibility for user-generated content or business decisions made using the leads or insights generated by our platform. It is the user’s responsibility to validate the authenticity, accuracy, and applicability of all data, including lead information, business suggestions, or communication sent through the platform. No guarantees are made concerning lead responsiveness, business outcomes, or specific results from using the service. If improper, inaccurate, or outdated data is encountered, users are encouraged to report it to the support team.

Swapple Solutions makes no commitment that the service will be available at all times or will be error-free, nor that all defects will be corrected. Services are subject to maintenance downtime, upgrades, third-party limitations, and network-related issues. Further, Swapple does not guarantee that the platform is free from malware, viruses, or harmful components, though best practices in cybersecurity and compliance are followed.

The use of LeadSwap AI from outside India is subject to local jurisdiction and laws, and users agree to comply with applicable international standards. Any references to third-party APIs, services, or tools do not imply endorsement or warranty by Swapple Solutions.

Limitation of Liability

Under no circumstances shall Swapple Solutions Pvt. Ltd. or its partners, developers, licensors, or affiliates be liable for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of business, revenue, profits, or data arising out of or in connection with the use or inability to use LeadSwap AI or reliance on its content, whether based on contract, tort, warranty, or any other legal theory—even if advised of the possibility of such damages.

Swapple Solutions shall not be held responsible for damages resulting from system outages, interruptions, unauthorized access, communication failures, service delays, or force majeure events. LeadSwap AI is intended to be a decision-support tool, not a guarantee of results. Any misuse of services, violation of policies, or failure to validate information retrieved through the platform is solely at the user’s risk.

Paid subscriptions are offered for access to our services, and any consumption or output during the subscription period is subject to fair use limits as described in the subscription terms. Users acknowledge that no separate obligation of guaranteed conversion, outreach, or sales performance is implied or warranted by the subscription alone.

Termination

Swapple Solutions Pvt. Ltd. reserves the right to terminate or restrict access to the LeadSwap AI platform, its tools, or any portion of its services, at any time and without prior notice. Such termination may occur at the sole discretion of the company if it believes that a user has violated these Terms and Conditions, misused the platform, acted in a manner inconsistent with the intended purpose of the service, or breached any applicable law, rule, or regulation. In the event of such termination, the user may be blocked from further use of the services, and any active subscriptions may be forfeited without refund. The company shall not be liable for any damages or consequences arising from such suspension or termination.

Indemnification

By using LeadSwap AI, you agree to assume full responsibility for your actions and those of anyone using your account credentials. You acknowledge that unauthorized use of the service or any misuse of its data, features, or content may violate intellectual property laws, privacy rights, data protection regulations, and other applicable statutes. You agree to defend, indemnify, and hold harmless Swapple Solutions Pvt. Ltd., its founders, employees, directors, affiliates, and partners from and against any claims, losses, legal proceedings, damages, or liabilities (including reasonable legal and professional fees) that may arise due to your use of the platform, any content submitted by you, or any breach of these terms and conditions or applicable laws.

Swapple Solutions shall not be a party to disputes between users or between clients and third parties using data sourced via the platform. If Swapple is named in any legal proceedings where it is not directly involved, the responsibility for all legal costs incurred will rest with the party that names Swapple Solutions as a respondent. The company shall comply with all legal orders properly served through due legal process.

Arbitration

In the event of any dispute or difference arising between the user and Swapple Solutions Pvt. Ltd. in connection with the use of the LeadSwap AI platform, or regarding the validity, interpretation, implementation, or alleged breach of any provision of these Terms and Conditions, such dispute shall be referred to a sole Arbitrator. The Arbitrator shall be an independent and neutral party, mutually appointed by both parties. The decision of the Arbitrator shall be final and binding on both the user and Swapple Solutions Pvt. Ltd.

The arbitration proceedings shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996, and the place of arbitration shall be Nagpur, Maharashtra. All proceedings shall be conducted in English. Each party shall bear its own legal costs unless otherwise directed by the Arbitrator.

Severability of Provisions

This Agreement between the user and Swapple Solutions Pvt. Ltd. governs the use of the LeadSwap AI platform. If any provision of these Terms and Conditions, or any part thereof, is found to be inconsistent with or declared invalid, void, or unenforceable by any applicable law, regulation, governmental order, or final decision of a court of competent jurisdiction, such inconsistency or invalidity shall not affect the validity or enforceability of the remaining provisions. All other terms shall remain in full force and effect, and the invalid provision shall be deemed severed without affecting the overall integrity of this Agreement.

Waiver

The failure of Swapple Solutions Pvt. Ltd. to enforce or exercise any provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver, to be effective, must be expressly stated in writing and signed by an authorized representative. The non-enforcement of any provision at any time shall not be construed as a waiver of the right to enforce that provision in the future.

Governing Law

By accessing and using the LeadSwap AI platform, you agree that these Terms and Conditions shall be governed and construed in accordance with the laws of India. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Nagpur, Maharashtra.

Jurisdiction

All disputes and matters arising in connection with the use of the LeadSwap AI platform and these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Nagpur, Maharashtra, India, regardless of the geographic location or jurisdiction from which the platform is accessed.

Swapple Solutions Pvt. Ltd. does not routinely monitor user activity or submissions on the platform but reserves the right to do so. If the company becomes aware of any misuse or unlawful conduct involving the platform or its services, it reserves the right to respond as it deems appropriate, including but not limited to reporting the matter to appropriate law enforcement authorities. Swapple Solutions will fully cooperate with any official investigations or lawful requests by government or regulatory bodies pertaining to illegal or suspicious activities on the internet.

Swapple Solutions Pvt. Ltd. reserves all rights not expressly granted herein.

Amendment

Swapple Solutions Pvt. Ltd. reserves the right to modify, update, or amend these Terms and Conditions at any time, without prior notice. Any such changes will be effective immediately upon posting on the official website or platform. Continued use of the services after any such modification constitutes your acceptance of the revised terms.
